SpotCheck End User License Agreement

Version 1.0, effective 4 September 2026.

This agreement is between you and Highland Park Electric Co, Inc., a California corporation that operates under the trade name Vault Buddy ("we", "us"). It covers the SpotCheck application for macOS, including any update to it that you receive under Section 3 ("SpotCheck"). By downloading, installing, or using SpotCheck you agree to this agreement. If you do not agree, do not install it, and if you have installed it, remove it.

1. Licence

Subject to your compliance with this agreement, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use SpotCheck on computers you own or control, to check video files you are entitled to work with. This is a licence, not a sale. We and our licensors retain all right, title and interest in SpotCheck. SpotCheck is currently provided free of charge; we may charge for future versions, and Section 9 describes how a change of terms reaches you.

2. Restrictions

You may not:

• Copy, distribute, sell, rent, lease, sublicense, or otherwise make SpotCheck available to any third party. Pointing someone at the download page is fine; giving them your copy is not.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of SpotCheck, except to the extent this restriction is prohibited by applicable law or by the licence of a third-party component described in Section 7.
• Modify, adapt, translate, or create derivative works of SpotCheck.
• Remove, obscure, or alter any proprietary notice, attribution, or acknowledgement displayed by or included with SpotCheck.
• Use SpotCheck to build a competing product, or to benchmark it for publication, without our prior written consent.

Nothing in this Section limits any right granted to you by the licence of a third-party component bundled with SpotCheck. In particular, the FFmpeg programs and libraries it includes are licensed to you under the GNU General Public License, and that licence, not this agreement, governs what you may do with them.

3. Automatic updates

SPOTCHECK UPDATES ITSELF AUTOMATICALLY. By installing it, you consent to this.

SpotCheck checks for a new version when it launches and approximately every six hours while it is running. If one is available it downloads that version from our server, installs it over the copy on your computer, and relaunches. No prompt is shown and no confirmation is requested. Automatic updating is how corrections to delivery specifications and other fixes reach installed copies, and we do not offer a supported way to disable it. If you do not consent to software installing itself on your computer in this manner, do not install SpotCheck.

We are not liable for any loss arising from an update, including any interruption, incompatibility, change in behaviour, or removal of a feature.

4. What SpotCheck reads, and where it goes

SpotCheck runs entirely on your computer. To do its job it:

• Reads the video files you open in it, and decodes them using the FFmpeg software it bundles, in order to measure them.
• Reads caption files you open alongside a video, and any caption track embedded in it.
• Reads the picture of a slate frame using the macOS Vision framework, to compare the text on the slate with the file's name and measured duration.
• Checks the spelling of captions using the macOS spell checker, which may use the languages and learned words you have configured in macOS.

Nothing you open in SpotCheck is uploaded anywhere. There is no account, and SpotCheck does not send us the files you check, their names, their contents, or the results. The only network activity SpotCheck performs is the update check described in Section 3, which sends our server the version of SpotCheck and of macOS you are running so that it can be answered with the right update.

5. What SpotCheck writes

The notes, drawings and sign-offs you add to a file are stored in SpotCheck's own storage on your computer, keyed to the file's content so that they survive a rename. They are not written beside your media. Reports, stills and other exports are written only to the locations you choose when you export them. You are responsible for where you save exports and for what they contain; a report can include frames from the material you are checking.

6. A verdict is not a guarantee

SpotCheck grades a file against delivery specifications as we read them from each platform's own published pages, on the dates shown alongside each platform in the app. Platforms change their specifications, sometimes without notice; they may apply rules they do not publish; and every measurement has a tolerance. A pass in SpotCheck is not a representation by us that any platform, network, broadcaster, or client will accept your file, and a failure is not a representation that they will reject it. You remain solely responsible for what you deliver and for confirming it against the destination's current requirements. Sections 10 and 11 apply to every result SpotCheck produces.

7. Third-party components

SpotCheck includes software owned by third parties, including the FFmpeg programs and libraries it uses to read video and the Sparkle framework it uses to update itself. Those components are licensed to you under their own terms, which are listed with their full licence texts in the Third-Party Licenses document available from SpotCheck's application menu. Where a third-party licence conflicts with this agreement, that licence governs its own component. The FFmpeg components are distributed under the GNU General Public License version 3, and that document contains a written offer of their source code.

8. System requirements and no support commitment

SpotCheck requires macOS 14 or later on an Apple silicon Mac. We may change the system requirements, discontinue SpotCheck, or cease supporting any version of it at any time. We are under no obligation to provide updates, fixes, or support for any particular version, and an older version may stop working when the platforms it checks against change.

9. Changes to this agreement

We may revise this agreement for a new version of SpotCheck. If we make a material change, we will show it in the app, on the download page, or both, before or when that version is installed, and the revised agreement will apply to that version and later ones. If you do not agree to a revised agreement, stop using SpotCheck and remove it from your computer.

10. Disclaimer of warranty

SPOTCHECK IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS. WE DO NOT WARRANT THAT SPOTCHECK WILL BE FREE OF ERRORS, THAT IT WILL MEASURE ANY FILE CORRECTLY, OR THAT ANY SPECIFICATION IT CHECKS AGAINST IS CURRENT OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR LICENSORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO SPOTCHECK OR THIS AGREEMENT, INCLUDING ANY DELIVERABLE THAT A PLATFORM OR CLIENT REJECTS OR ACCEPTS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO SPOTCHECK IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR SPOTCHECK IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND TEN US DOLLARS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Termination

The licence in Section 1 ends immediately if you breach this agreement. On termination you must stop using SpotCheck and remove it from every computer you installed it on; dragging the application to the Trash removes it. Sections 2, 4, 5, 6, 7, 10 and 11 survive termination.

13. General

This agreement is governed by the laws of the State of California, without regard to its conflict of laws rules. It is the entire agreement between you and us about SpotCheck. If any part of it is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement; we may assign it to a successor to the SpotCheck business.
